Himadri Speciality Chemical Ltd on Monday announced that its board has approved a scheme to demerge the tyre business of Dalmia Bharat Refractories Ltd (DBRL) and transfer it to Himadri as a going concern, strengthening the specialty chemicals maker’s presence across the tyre value chain.
Under the proposed scheme, DBRL's tyre business, including its assets, liabilities, contracts, employees, brands, trademarks, licenses, permits, approvals and properties attributable to the business, will be transferred and vested in Himadri on an "as is where is" basis.
The tyre business comprises the designing, manufacturing and development of the different types of tyres and tyre products. It recorded turnover of ₹149.31 crore in the year ended March 31, 2026, equivalent to 3.39 per cent of himadri's total turnover for the financial year, the company said in a regulatory filing. The demerger is scheduled to be appointed on October 1, 2026, or an another date approved by the National Company Law Tribunal or another appropriate authority.
